Acrefy Affiliate Program Agreement

PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This is a contract between you (the "Affiliate") and VR Holdings, LLC ("Acrefy," "we," "us," or "our"). It outlines the terms and conditions of your participation in the Acrefy Affiliate Program (the "Affiliate Program"). This document is legally binding, so please review it thoroughly.

By participating in the Affiliate Program, you agree to these terms. We may update this Agreement occasionally, and will notify you via email or through our affiliate dashboard. If you do not agree to changes, you may terminate this Agreement as outlined below.

Definitions

Affiliate Program: Our program allowing affiliates to earn commissions for referring new customers to Acrefy.

Affiliate Lead: A prospective customer who clicks on your unique Affiliate Link.

Affiliate Link: A unique tracking link assigned to you through our Affiliate Tool.

Affiliate Tool: The dashboard or portal we provide to manage your participation, track performance, and issue payments.

Commission: The monetary reward you receive for eligible Customer Transactions.

Customer: An individual or business that signs up and pays for Acrefy services through your Affiliate Link.

Customer Transaction: A qualifying transaction completed by a Customer through your Affiliate Link.

Acrefy Products: Any products or services we sell, including software subscriptions, tools, and services.

We, Us, Our: VR Holdings, LLC dba Acrefy.

You, Affiliate: The person or entity agreeing to this Affiliate Program Agreement.

Written Consent: For purposes of this Agreement, written consent includes email confirmation from an authorized Acrefy representative, approval through the Affiliate Tool dashboard, or other written documentation signed by an authorized Acrefy representative.

Non-Exclusivity

This Agreement does not create an exclusive relationship. You and Acrefy may each promote and partner with other third parties. However, Affiliates may not simultaneously promote direct competitors to Acrefy within the same promotional content, webpage, email, or advertisement in a manner that directly compares or disparages Acrefy's services.

Affiliate Acceptance

Your application will be reviewed upon submission. If accepted, you will receive an email notification. Acrefy may reject any application for any reason. Acrefy reserves the right to limit participation based on geographic location, and may restrict affiliates from certain jurisdictions where Acrefy does not actively conduct business. Your participation begins once accepted and remains in effect until terminated.

Customer Transactions

You will earn Commission only for new customers that purchase through your unique Affiliate Link. You are not eligible for Commission on renewals, upgrades, or subsequent purchases unless explicitly stated.

Upgrades/Downgrades: If a referred customer upgrades, your commission adjusts to the new subscription price within the original 12-month payout period. If they downgrade, your commission reduces accordingly.

Self-Referrals: Affiliates are prohibited from using their own affiliate links to purchase Acrefy products.

Multi-Affiliate Attribution: In cases where multiple affiliates claim attribution for the same customer, Acrefy uses last-click attribution based on the most recent click within the 90-day cookie window. Acrefy's tracking system determination is final. Affiliates are responsible for ensuring proper use of their unique Affiliate Links.

Customer Ownership: All customers referred through the Affiliate Program remain customers of Acrefy. Affiliates have no ownership rights, claims, or ongoing relationship with referred customers beyond earning eligible commissions. Affiliates may not attempt to redirect, claim ownership of, or independently contract with customers referred through their Affiliate Link.

Commission and Payment

Commission is 30% of the referred customer's monthly subscription fee for 12 months, with a maximum of $1,000 total commission per customer.

Commissions are based on last-click attribution tracked by Acrefy's Affiliate Tool within a 90-day cookie window. Attribution requires that the prospective customer clicks through your Affiliate Link and completes a purchase within 90 days. Attribution may be invalidated if the customer clears their cookies, uses a different device, or clicks another affiliate's link before purchasing.

Acrefy's decision in all attribution and commission disputes is final and binding. Any disputes regarding commission amounts or attribution shall be resolved through binding arbitration in Denver County, Colorado, in accordance with the American Arbitration Association's Commercial Arbitration Rules.

You must have a valid payment method and tax information on file.

Payments are issued monthly for commissions earned in the prior month, after a 30-day validation window.

Minimum Payout Threshold: Commissions will only be paid once your account balance reaches a minimum of $100. Balances below this threshold will roll over to subsequent months until the minimum is met.

Chargebacks, Refunds, and Reversals

If a referred customer requests a refund, cancels their subscription, or issues a chargeback within 60 days of their initial purchase, any commissions paid for that customer will be reversed and deducted from your future earnings.

Acrefy reserves the right to withhold future commission payments to recover any reversed commissions or negative balances on your account.

If a customer cancels after the 60-day period but before the completion of the 12-month commission period, no further commissions will be paid for that customer beyond the cancellation date.

In cases of fraudulent transactions or suspected fraudulent activity, Acrefy may reverse all related commissions regardless of payment status.

Account Suspension and Payment Holds

Acrefy reserves the right to suspend your affiliate account and freeze pending payments if: Suspected fraudulent activity is detected A violation of this Agreement is under investigation Unusual traffic patterns or conversion rates warrant review Legal or regulatory issues arise related to your promotional activities

During any investigation, Acrefy will notify you within 5 business days and complete its investigation within 30 days unless circumstances require additional time.

If the investigation clears you of wrongdoing, withheld payments will be released. If violations are confirmed, commissions may be forfeited and your account terminated.

Tax Responsibilities

Affiliates are solely responsible for all federal, state, local, and international taxes on commission earnings.

U.S.-based affiliates earning $600 or more annually will receive IRS Form 1099-NEC and must provide a completed Form W-9.

International affiliates must provide Form W-8BEN or other appropriate tax documentation as required by their jurisdiction.

Failure to provide required tax documentation may result in payment withholding or account suspension.

Acrefy does not provide tax advice. Affiliates should consult with qualified tax professionals regarding their obligations.

Prohibited Activities / Code of Conduct

Affiliates agree not to:

Bid on Acrefy's brand name, trademarks, or misspellings in Google Ads, Bing Ads, social media ads, or other PPC campaigns.

Publish affiliate links on coupon or deal sites without Acrefy's prior written consent.

Engage in cookie stuffing, forced clicks, or other fraudulent attribution methods.

Use misleading, deceptive, or spam tactics including false claims or fake reviews.

Post Acrefy affiliate links in unsolicited emails, messages, or forums.

Misrepresent Acrefy's services in any way.

Use Acrefy-provided creative assets in a way not consistent with Acrefy's Trademark Usage Guidelines.

Attempt to circumvent the Affiliate Program by directly contacting referred customers to arrange independent contracts, encourage cancellations and re-sign-ups through different channels, or otherwise bypass commission tracking systems.

Collect, store, or share customer data beyond what is necessary for legitimate promotional purposes. Affiliates must maintain their own privacy policy compliant with applicable data protection laws.

Create websites, domain names, social media accounts, or other online properties that could be confused with or misrepresented as official Acrefy channels.

Violation of this section may result in immediate termination and forfeiture of unpaid commissions.

Promotional Content and Approval Requirements

All paid advertising campaigns referencing Acrefy, its products, or its trademarks must either: Use official Acrefy-provided creative materials, OR Receive prior written approval from Acrefy

Affiliates creating dedicated landing pages, websites, or microsites specifically for promoting Acrefy must submit these for review and approval before launch.

Email marketing templates used to promote Acrefy should follow industry best practices and comply with CAN-SPAM requirements. Acrefy reserves the right to request copies of email templates for review.

Video content, webinars, podcasts, or other multimedia content making substantial claims about Acrefy's products should accurately represent our services and may be subject to review upon request.

Acrefy will respond to approval requests within 10 business days. Failure to receive approval does not authorize use of unapproved materials.

Performance Monitoring and Audits

Acrefy reserves the right to:

Monitor all affiliate promotional methods, traffic sources, and marketing practices.

Request documentation or proof of traffic sources, promotional methods, or advertising spend at any time.

Conduct audits of affiliate practices, promotional materials, and compliance with this Agreement.

Access and review any websites, landing pages, or promotional materials used in connection with the Affiliate Program.

Implement additional fraud detection measures and review conversion patterns, traffic quality, and customer behavior.

Affiliates must cooperate fully with any such monitoring or audit requests within 10 business days of notification.

Training and Support

We may provide optional training and support resources. While not mandatory, we encourage you to use them to improve performance.

Trademarks

You may use Acrefy branding only as provided in our approved affiliate resources and in accordance with our Trademark Usage Guidelines. You grant us a nonexclusive, nontransferable, royalty-free right to use and display your trademarks, service marks and logos ("Affiliate Marks") in connection with the Affiliate Program and this Agreement.

Proprietary Rights

All Acrefy intellectual property remains our sole property. You may not copy, alter, or distribute our materials without prior written consent.

Confidentiality

You agree to protect all confidential information shared by Acrefy and only use it in relation to your participation in the program. Confidential information includes but is not limited to: commission structures, internal communications, business strategies, customer data, proprietary marketing materials, and non-public product information. This obligation survives termination of this Agreement.

Advertising & Brand Protection Policy

Affiliates may not bid on Acrefy-branded keywords or misspellings in paid advertising campaigns.

All paid ads referencing Acrefy must be pre-approved or use official Acrefy-provided creative.

Affiliates may not create websites or domains that could be confused with Acrefy's brand.

Compliance with Laws and Ethics

Affiliates must:

Comply with all applicable laws, including CAN-SPAM, GDPR, CCPA, and other data protection laws.

Provide clear and conspicuous FTC disclosures of their affiliate relationship in all promotional content (e.g., "I may earn a commission if you purchase through my link" or similar language placed prominently before affiliate links).

Honor all unsubscribe and opt-out requests promptly.

Obtain appropriate consent for data collection and email marketing in accordance with applicable laws, including GDPR requirements for EU residents.

Maintain their own privacy policy that discloses data collection, use, and sharing practices.

Refrain from making medical, legal, or financial claims about Acrefy's products unless properly licensed and qualified to do so.

Data Protection and Privacy

Affiliates may only collect customer or prospect data to the extent necessary for legitimate promotional purposes under this Agreement.

Affiliates must not share, sell, or transfer any customer information obtained through the Affiliate Program to third parties.

For EU residents: Affiliates must obtain explicit consent before collecting or processing personal data and must comply with all GDPR requirements including data subject rights (access, deletion, portability, etc.).

Affiliates must implement reasonable security measures to protect any collected data.

Upon termination of this Agreement, Affiliates must delete or return all customer data unless retention is required by law.

Any data breach or suspected breach involving customer information must be reported to Acrefy within 24 hours of discovery.

Client Referral Conflicts

Affiliates who also serve Acrefy customers in a professional capacity (consultants, agencies, etc.) must disclose this relationship. Acrefy reserves the right to withhold commissions if an affiliate both manages a client's Acrefy account and claims affiliate commission without prior written approval.

Term and Termination

This Agreement remains in effect until terminated by either party with 15 days' written notice. Termination for breach, prohibited activity, or fraudulent behavior may be immediate. Upon termination:

No further commissions will be due for new customer transactions occurring after the termination date.

Commissions for customers who subscribed through your Affiliate Link before the termination date will continue to be paid for the remainder of their original 12-month commission period, provided: The customer remains active and in good standing No refunds, chargebacks, or cancellations occur The termination was not for fraud, breach, or prohibited activities

If termination is due to fraud, breach of this Agreement, or prohibited activities, Acrefy reserves the right to forfeit all pending and future commissions, including those from customers referred prior to termination.

Acrefy may terminate this Agreement immediately without notice if it determines, in its sole discretion, that you have engaged in fraudulent activity, violated applicable laws, or breached material terms of this Agreement.

Modification of Terms

Acrefy may modify commission rates, payout frequency, or program rules with at least 30 days prior notice via email or through the Affiliate Tool dashboard. Continued participation after notice constitutes acceptance of the modified terms. If you do not agree to the modifications, you may terminate this Agreement in accordance with the Term and Termination section above.

Affiliate Representations and Warranties

You confirm you have the right to participate in this program and that your promotional practices comply with all applicable laws and regulations. You further represent and warrant that:

You are at least 18 years of age and have the legal capacity to enter into this Agreement.

All information provided in your affiliate application is true, accurate, and complete.

You own or have the necessary rights to all content and materials you use in promoting Acrefy.

Your promotional activities do not and will not infringe upon any third-party intellectual property rights.

You have not been previously terminated from the Affiliate Program or any other Acrefy program for violations or fraudulent activity.

Indemnification

You agree to indemnify, defend, and hold harmless Acrefy , its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and representatives against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your participation in the Affiliate Program, including violations of law, prohibited activities, misrepresentations, infringement of third-party rights, breach of this Agreement, or negligent or willful misconduct.

Disclaimers; Limitations of Liability

The Affiliate Program is provided "as is" without warranties. To the maximum extent permitted by law:

Acrefy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Acrefy makes no warranties regarding the availability, functionality, or uninterrupted operation of the Affiliate Tool or tracking systems.

Acrefy does not guarantee any specific level of earnings, traffic, or conversions from your participation in the Affiliate Program.

Acrefy is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.

Acrefy's total liability is limited to commissions earned in the 12 months prior to any claim.

Acrefy is not responsible for any third-party actions, including customer refunds, cancellations, chargebacks, or payment disputes.

Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, pandemics, internet or utility failures, or other circumstances of force majeure. The affected party will notify the other party promptly and use reasonable efforts to resume performance. If the force majeure event continues for more than 60 days, either party may terminate this Agreement without penalty.

Relationship of the Parties

This Agreement does not create a partnership, joint venture, agency, franchise, or employment relationship. Affiliates are independent contractors. Affiliates have no authority to bind Acrefy or make any representations or commitments on Acrefy's behalf. Each party is solely responsible for its own employees, contractors, taxes, and benefits.

General

This Agreement is governed by Colorado law without regard to its conflict of law provisions. Any disputes shall be resolved in Denver County courts or through binding arbitration as specified in the Commission and Payment section. No waiver of rights shall be implied. If any term is found unenforceable, the remainder of the Agreement remains in force.

Assignment: You may not assign or transfer this Agreement or any rights hereunder without Acrefy's prior written consent. Acrefy may assign this Agreement to any successor or affiliate without restriction.

Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements, understandings, and communications, whether written or oral.

Severability: If any provision of this Agreement is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed from this Agreement, and the remaining provisions shall continue in full force and effect.

Notices: All notices required under this Agreement must be sent to the email address on file in your Affiliate Tool account or to [email protected] for notices to Acrefy. Notices are deemed received upon email delivery confirmation.

Survival: The following sections survive termination of this Agreement: Confidentiality, Proprietary Rights, Indemnification, Disclaimers and Limitations of Liability, Data Protection and Privacy (as to data collected prior to termination), and General provisions.

Acceptance & Signature

By signing below, the Affiliate acknowledges and agrees to the terms of this Affiliate Program Agreement and confirms having read, understood, and agreed to be bound by all provisions contained herein.

The following promotional channels are pre-approved for affiliate use without additional written consent:

Personal or business blogs with genuine content

Social media posts (Facebook, LinkedIn, Twitter, Instagram) with proper FTC disclosure

Email marketing to your owned email list (with proper CAN-SPAM compliance)

YouTube videos with disclosure in description and verbally in video

Podcast mentions with verbal disclosure

The following channels require prior written approval:

Paid search advertising (Google Ads, Bing Ads)

Paid social advertising (Facebook Ads, LinkedIn Ads, etc.)

Display advertising or banner ads

Coupon or deal websites
